1. Introduction
These Terms and Conditions ("Terms") govern access to and use of the SaaS (Software as a Service) platform, website (https://payseats.com), organizer/admin interfaces, the PaySeats Terminal app, and all related services (collectively, the "Service"). The Service is provided and operated by PaySeats Europe SL, a Spanish company with tax identification number B22704407 and its registered address at Calle Camí d'es Castell 261, 2º 3ª, 07702 Mahón, Balearic Islands, Spain.

PaySeats provides infrastructure for creators and organizations to build and operate their digital spaces for events, classes, and communities. This includes website hosting, payments, domains, email, optional tools for ticketing and booking, and the PaySeats Terminal app for staffed in-person selling, payment initiation, and check-in. Our role is strictly that of a technology provider. The contract for any event or service is solely between the Organizer and the end user (Attendee). PaySeats is not responsible for the execution, quality, legality, or safety of events. However, we reserve the right to investigate and take action against activities that threaten the integrity of the platform (for example, to prevent fraudulent sales, combat scalping, or protect system stability), as detailed in Section 9.
Any guidance, templates, or informational materials that PaySeats may publish are provided for general information only and do not constitute legal, tax, accounting, or regulatory advice. Organizers remain responsible for determining and complying with the laws that apply to their activities.
2. Service Description
PaySeats offers a global digital platform that provides the infrastructure for Organizers to create, manage, and sell access to events, classes, memberships, bookings, and related services. The Service includes public web properties, organizer/admin tooling, and the PaySeats Terminal app used for paired-device recovery, operator sign-in, ticket scanning/check-in, supported box-office sales, and in-person payment flows. Integrated payments are currently provided primarily through Stripe in supported countries and regions, and payment availability may expand, change, or be withdrawn over time depending on our providers and applicable law.
In the ordinary course, Organizers publish content and Attendees purchase access, and funds are settled by the Payment Partner directly to the Organizer. If something goes wrong (for example, a failed payment, a cancellation, or a dispute), the Organizer remains responsible for delivery and communication with Attendees, and the Payment Partner's rules apply to payment issues.
The Service includes all functionalities provided by the platform, whether accessed on a PaySeats subdomain, through an Organizer's custom domain connected to the PaySeats platform, or on a paired device through PaySeats Terminal. These Terms apply in full to all instances of access.
PaySeats is not a party to the contract between Organizers and Attendees. We may review account activity, request information, or take platform action where necessary to investigate fraud, safety risks, platform abuse, or legal requests. We do not adjudicate private disputes between Organizers and Attendees and do not guarantee any particular outcome.
2.1. Custom Domain Policy
Organizers who connect a custom domain remain responsible for having the legal right to use that domain, keeping registration and contact data accurate, maintaining access to any registrar or verification channels, and complying with applicable domain-related rules (such as WHOIS or similar registration requirements where they apply). PaySeats may provide managed operational tooling for DNS sync, redirects, SSL requests or renewals, hosted email, or related control-plane tasks, but those workflows depend on accurate Organizer inputs and third-party registrar, certificate, DNS, or email-provider systems. PaySeats does not guarantee domain registration, SSL issuance or renewal, DNS propagation timing, or uninterrupted custom-domain availability, and is not responsible for failures caused by inaccurate Organizer data, registrar actions, configuration outside PaySeats, or third-party provider outages.
3. Accounts: Organizers and End Users
3.1. Organizer Accounts
Registration: Organizers must register with accurate information. PaySeats may request documentation or other information to comply with legal obligations like AML/KYC or provider requirements. Failure to provide requested information within the timeframe stated in the request may result in account suspension or restricted functionality.
Security: Organizers are responsible for their account security. PaySeats offers features such as two-factor authentication (2FA), and we strongly recommend its use. The Organizer is responsible for any losses incurred due to the failure to enable available security measures.
Compromised Accounts: In the event of a suspected account compromise, PaySeats will take steps to secure the account (which may include temporary suspension), notify the Organizer, and will notify any affected end users if their personal data is believed to be at risk, in accordance with our GDPR obligations.
3.2. End User Accounts and Guest Checkout
End users (such as students, attendees, or customers) may purchase or book services through Organizer storefronts powered by PaySeats. Guest checkout is available, creating a secure record tied to the email address.
If you later choose to create a full end user account with the same email address, you will be able to securely access your previous guest purchase history. The creation and use of an end user account are governed by these Terms and our Privacy Policy.
3.3. Account Suspension and Cancellation
PaySeats may suspend or cancel an Organizer's account for breaches. Severe violations include fraudulent event creation, illegal activities, or repeated IP infringement. Appeals must be submitted through our Support Ticket System. PaySeats will review and respond within a reasonable timeframe based on the complexity of the case and any relevant third-party or provider dependencies, and the Organizer will be kept informed where reasonably practicable.
Suspension or cancellation can affect access to the dashboard and published events. Any payout holds or payment account reviews are managed by the Payment Partner under their own terms.
4. Subscription Plans
Access for Organizers is subject to a subscription. If an Organizer downgrades or cancels, access to subscription-gated features, administrative settings, publishing controls, or operational tools may be limited, suspended, or changed according to the applicable plan and entitlements. Organizers remain responsible for delivery of existing purchases and for any attendee communications, refunds, or cancellations required under their policies and applicable law. Existing purchases remain valid unless the event or service is formally canceled. We do not offer pro-rata refunds for mid-cycle cancellations unless required by mandatory local law (such as the 14-day withdrawal right for digital services in the EU).
4.1. Special Offers and Discounts
From time to time, PaySeats may make special promotional offers available (such as limited-time discounts for new subscribers). Unless expressly stated otherwise, these offers:
- Apply only to new Organizer accounts.
- Are limited in duration as specified at the time of the offer.
- Cannot be combined with other promotions.
- Will revert to the standard subscription price once the promotional period ends.
If terms apply, they will be shown clearly alongside the offer.
5. Payment Processing and Fund Management
PaySeats currently offers integrated payment functionality primarily through Stripe and may add, remove, or replace payment providers over time. PaySeats is not a payment processor, bank, money services business, or licensed financial institution. We provide software that connects an Organizer's account to the applicable third-party payment provider (the "Payment Partner"). PaySeats does not receive, hold, or settle customer funds in its own name. Transaction funds are processed and settled by the Payment Partner under that provider's own terms, onboarding requirements, compliance controls, and risk rules. For clarity: unless we explicitly state otherwise in writing for a specific service, PaySeats does not act as merchant of record, escrow agent, or financial intermediary in the payment transaction.
5.1. Payout Policy
Payouts of funds from the Organizer's account are governed by the terms and conditions of the Payment Partner. Reserves or payout delays, if applied, are determined solely by the Payment Partner under their own risk policies. While PaySeats provides a dashboard to view the status of payouts and reserves, we do not decide, apply, or control these actions. For more information, please see our Payout and Reserves Policy.
5.2. Currency and Third-Party Fees
Organizers are responsible for any bank-imposed currency conversion fees. Payouts may be delayed by factors outside PaySeats' control, such as banking holidays or the Payment Partner's technical issues or risk reviews.
5.3. Payment Failures or Disputes
The Organizer is responsible for managing all chargebacks and disputes directly within their account with the Payment Partner, in accordance with the Partner's policies. Excessive chargebacks may lead to the Payment Partner placing a reserve on the account or suspending payment processing capabilities.
5.4. In-Person Payments via PaySeats Terminal
Organizers may use PaySeats Terminal, PaySeats' dedicated in-person operations app, on supported devices to pair or recover a terminal, unlock operator sessions, scan tickets for check-in, run box-office sales flows, and initiate card-present payments where supported by the Payment Partner and compatible hardware (for example, Stripe Terminal). These transactions are executed through the same regulated Payment Partner that powers online payments.
For clarity:
- PaySeats only provides the technical interface, device/session tooling, and SDK integration for these flows.
- Funds from in-person transactions are collected and settled directly by the Organizer's Payment Partner account.
- PaySeats does not act as merchant of record, does not hold, transmit, or intermediate funds, and has no control over reserves, delays, or chargebacks applied by the Payment Partner.
- Disputes, refunds, and reserves related to in-person payments follow the same rules as online transactions under Sections 5.1-5.3 of these Terms.
6. Refunds and Event Changes
The Organizer is responsible for setting and executing their own refund policy. Refunds are executed directly through the Payment Partner. PaySeats only provides the technical interface to transmit the Organizer's refund instructions to the Payment Partner. In rare cases, an instruction to process a refund may be triggered automatically by the platform to comply with the Payment Partner's requirements or applicable law. PaySeats does not decide these refunds and never holds or manages the funds itself. The Organizer authorizes the Payment Partner to recover funds for such refunds from their account. PaySeats neither guarantees nor funds refunds. Our platform only transmits refund instructions between the Organizer and the Payment Partner.
6.1. Event Changes, Cancellations, and No-Show
Organizers must inform Attendees of material changes, postponements, or cancellations promptly and provide clear options consistent with their published policies and applicable law. If an Organizer cancels or materially changes an event, the Organizer is responsible for issuing refunds or credits through the Payment Partner.
If an Organizer repeatedly fails to deliver events or to communicate changes, PaySeats may investigate, limit access to the Service, or suspend the account to protect Attendees and the platform.
6.2. Attendee Complaints
Attendees should first contact the Organizer using the contact information provided at checkout or in the event listing. If a complaint suggests fraud, safety risks, or systemic issues, PaySeats may review the account activity and request additional information from the Organizer. We do not adjudicate private disputes but may take platform action to protect users.
7. Optional Third-Party Features
Organizers may from time to time use optional third-party integrations, fulfillment services, or connected tools that are not part of the core PaySeats Service. Those services are governed by the third party's own terms and privacy notices, and Organizers are responsible for reviewing and accepting them before use. PaySeats is not responsible for the third party's performance, availability, or acts or omissions, except to the extent required by law.
8. Organizer Obligations
The Organizer agrees to comply with all laws applicable to their offerings, checkout flows, marketing, taxes, attendee communications, age-related restrictions, venue operations, and local consumer disclosures. PaySeats may provide configurable checkout text, consent controls, or other administrative settings, but the Organizer remains responsible for determining what notices, consents, disclosures, refund terms, and verification steps are legally required in their jurisdiction.
9. Prohibited Use of the Service
9.1. Prohibited Content and Activities
The Organizer agrees not to use the Service for any use of the Service or content that is illegal, fraudulent, hateful, sexually explicit, violent, or that infringes on intellectual property rights.
9.2. Monitoring and Enforcement
PaySeats reserves the right to monitor content and investigate violations. Content removal appeals follow the same Support Ticket System process as account suspensions.
9.3. Intellectual Property
By uploading content, the Organizer grants PaySeats a worldwide, non-exclusive, royalty-free license to use and display that content solely for the purposes of operating, marketing, and promoting the Service. The Organizer retains ownership and warrants they have the rights to the content.
10. Data Protection
PaySeats is committed to data protection as described in our Privacy Policy and Data Processing Addendum. Those documents explain our controller/processor roles, international transfer safeguards where applicable, incident response, and data-rights handling under applicable law.
11. Indemnification
The Organizer agrees to indemnify PaySeats against claims arising from their events or services, or their breach of these Terms. PaySeats will indemnify the Organizer for direct damages resulting solely from our gross negligence or willful misconduct, capped at the subscription fees paid by the Organizer in the prior 12 months. This limitation may not apply where prohibited by mandatory consumer protection laws.
12. Limitation of Liability
Our liability is limited to the fees paid by the Organizer in the prior 12 months, except in cases of gross negligence, willful misconduct, or for liability related to data breaches. This limitation may not apply where prohibited by mandatory consumer protection laws.
13. Modifications
Organizers will be notified of material changes to these Terms at least 30 days in advance and may terminate their account without penalty via the Support Ticket System if they do not agree.
14. Jurisdiction and Dispute Resolution
These Terms shall be governed by the laws of Spain, without prejudice to any mandatory consumer protection laws that apply in your country of residence. Any dispute that cannot be resolved informally shall be submitted to the competent courts determined under applicable law. If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence where mandatory law permits.

All support requests should be directed to our Support Ticket System, which handles global queries asynchronously.
16. Force Majeure
PaySeats is not liable for failures due to causes beyond our reasonable control, including natural disasters, pandemics, government restrictions, or significant third-party service outages.
17. Acceptance of Terms
Creating an Organizer account, subscribing to a plan, or continuing to use the Service after these Terms take effect constitutes acceptance of these Terms. Organizers remain responsible for presenting their own customer-facing terms, cancellation policies, and disclosures where required for attendee purchases or bookings.
18. Accessibility
Accessibility issues can be reported through our Support Ticket System and will be reviewed within a reasonable timeframe. Please also see our Accessibility Statement for additional information about how we handle accessibility feedback.
19. Service Availability
Unless PaySeats expressly agrees otherwise in writing, the Service is not subject to a separate service-level agreement, uptime warranty, or service credit program. Availability may be affected by maintenance, provider outages, banking systems, internet infrastructure, or other third-party dependencies.
20. General Provisions
Governing Language: The English version of these Terms shall prevail.
Local Compliance: Organizers are responsible for local compliance, including tax obligations. PaySeats will cooperate in good faith to resolve any conflicts between these Terms and mandatory local laws.
