1. Introduction

These Terms and Conditions (hereinafter, "Terms") govern the access to and use of the SaaS (Software as a Service) platform, website (https://payseats.com), mobile applications, and all related services (collectively, the "Service"). The Service is provided and operated by PaySeats Europe, S.L., a Spanish company with tax identification number B22704407 and its registered address at Calle Camí d'es Castell 261, 2º 3ª, 07702 Mahón, Balearic Islands, Spain.

PaySeats provides tools for managing and selling tickets but does not organize events. Our role is strictly that of a technology provider. The contract for the event is solely between the Organizer and the Attendee. PaySeats is not responsible for the execution, quality, legality, or safety of events. However, we reserve the right to investigate and take action against activities that threaten the integrity of the platform (e.g., to prevent fraudulent ticket sales, combat scalping, or ensure the stability of our payment systems), as detailed in Section 9.

While PaySeats may offer compliance resources and guides at https://payseats.com/support/compliance, these do not constitute legal advice, and Organizers are ultimately responsible for their own legal and tax compliance.

2. Service Description

PaySeats offers a global digital platform that enables Organizers to create, manage, and sell tickets for events. However, the ability to process payments and offer paid events is dependent on the service availability of our third-party payment partners. Therefore, the Service may not be available or may have limited functionality in certain countries or regions according to the restrictions imposed by these partners.

The Service includes all functionalities provided by the platform, whether accessed on a PaySeats subdomain or through an Organizer's custom domain connected to the PaySeats platform. These Terms apply in full to all instances of access.

While PaySeats is not a party to the contract between Organizers and Attendees, we reserve the right, but have no obligation, to mediate disputes in exceptional circumstances (e.g., verified fraud, significant safety risks, or formal regulatory inquiries). If mediation is initiated, it will be conducted in good faith within a reasonable timeframe, typically not exceeding 30 days, through a neutral third-party mediator, with costs shared equally between the parties.

2.1. Custom Domain Policy

Organizers who connect a custom domain are solely responsible for its legal and technical maintenance, including but not limited to, domain registration, ownership, SSL certificate validity, and compliance with all applicable domain-related regulations (such as WHOIS accuracy). PaySeats disclaims all liability for any issues arising from an Organizer's custom domain.

3. Accounts: Organizers and Attendees

3.1. Organizer Accounts

  • Registration: Organizers must register with accurate information. PaySeats may request documentation to comply with legal obligations like AML/KYC. Failure to provide requested documents within 10 business days may result in account suspension.
  • Security: Organizers are responsible for their account security. PaySeats offers features such as two-factor authentication (2FA), and we strongly recommend its use. The Organizer is responsible for any losses incurred due to the failure to enable available security measures.
  • Compromised Accounts: In the event of a suspected account compromise, PaySeats will take steps to secure the account (which may include temporary suspension), notify the Organizer, and will notify any affected Attendees if their personal data is believed to be at risk, in accordance with our GDPR obligations.

3.2. Attendee Accounts and Guest Checkout

Attendees may purchase tickets using our Guest Checkout option. When using Guest Checkout, we create a secure record of your purchase linked to your email address to deliver your ticket and provide essential event communications.

If you later choose to create a full Attendee Account with the same email address, you will be able to securely access your previous guest purchase history. The creation and use of an Attendee Account are governed by these Terms and our Privacy Policy.

3.3. Account Suspension and Cancellation

PaySeats may suspend or cancel an Organizer's account for breaches. "Severe violations" include fraudulent event creation, illegal activities, or repeated IP infringement. Appeals must be submitted through our Support Ticket System. PaySeats will review and respond within a reasonable timeframe, typically within 15 business days; this timeline may be extended for complex cases, and the Organizer will be kept informed.

4. Subscription Plans

Access for Organizers is subject to a subscription. If an Organizer downgrades or cancels, active events may be unpublished, and affected Attendees will be notified. Tickets remain valid unless the event is formally canceled. We do not offer pro-rata refunds for mid-cycle cancellations unless required by mandatory local law (such as the 14-day withdrawal right for digital services in the EU).

5. Payment Processing and Fund Management

PaySeats utilizes an integrated payment processing system branded as "PaySeats Payments." It is critical to understand that PaySeats is not a payment processor, bank, money services business, or a licensed financial institution. "PaySeats Payments" is a technology layer that functions as a wrapper, securely connecting the Organizer to our regulated third-party payment processing partner(s) (hereinafter, the "Payment Partner"). All funds related to transactions on the platform are handled exclusively by our Payment Partner.

5.1. Payout Policy

  • Standard Payouts: For established Organizers with a positive track record, payouts are typically processed on a rolling basis, allowing access to funds before the event.
  • Reserves and Delays: PaySeats reserves the right to instruct our Payment Partner to hold a "Reserve" or delay payouts based on risk factors (e.g., new Organizer status, a history of disputes, or high-risk event categories such as events with over 1,000 attendees or a high ticket price). Organizers will be notified of any Reserve, including the reason and amount, via their control panel. The duration will not typically exceed 90 days post-event unless an active dispute is underway.

5.2. Currency and Third-Party Fees

Organizers are responsible for any bank-imposed currency conversion fees. Payouts may be delayed by factors outside PaySeats' control, such as banking holidays or Payment Partner technical issues.

5.3. Payment Failures or Disputes

The Organizer is responsible for managing all chargebacks and disputes in accordance with the policies of our Payment Partner. Excessive chargebacks may lead to a Reserve being placed on the account or account suspension.

6. Refunds

The Organizer is responsible for their refund policy. PaySeats will process approved refunds within 7-14 business days. The Organizer authorizes PaySeats and its Payment Partner to recover funds for legally or policy-mandated refunds by debiting their bank account or by issuing an invoice, which is due within 15 days.

PaySeats reserves the right to initiate a refund on behalf of the Organizer in specific, limited circumstances (e.g., a publicly confirmed event cancellation, a high volume of verified Attendee complaints, or as required by our Payment Partner or law).

7. Physical Tickets (Print-on-Demand)

This is an optional feature provided by a third party. Organizers must accept the provider's terms, accessible via a link on our support site. PaySeats disclaims all liability for this service.

8. Organizer Obligations

The Organizer agrees to comply with all laws and ensure their checkout process includes a mandatory acceptance of these Terms, which is enforced by the platform's checkout system. While PaySeats may offer certain tools to assist with compliance (such as tools for age verification), Organizers are ultimately responsible for implementing their own solutions to meet local legal requirements.

9. Prohibited Use of the Service

9.1. Prohibited Content and Activities

The Organizer agrees not to use the Service for any event or content that is illegal, fraudulent, hateful, sexually explicit, violent, or that infringes on intellectual property rights.

9.2. Monitoring and Enforcement

PaySeats reserves the right to monitor content and investigate violations. Content removal appeals follow the same Support Ticket System process as account suspensions.

9.3. Intellectual Property

By uploading content, the Organizer grants PaySeats a worldwide, non-exclusive, royalty-free license to use and display that content solely for the purposes of operating, marketing, and promoting the Service. The Organizer retains ownership and warrants they have the rights to the content.

10. Data Protection

PaySeats is committed to data protection as detailed in our Privacy Policy, which includes information on our use of EU-approved safeguards like Standard Contractual Clauses (SCCs) for cross-border data transfers. We conduct Data Protection Impact Assessments (DPIAs) for high-risk activities. We will notify Organizers of any data breach in accordance with applicable laws. Data rights requests are processed within statutory timeframes.

11. Indemnification

The Organizer agrees to indemnify PaySeats against claims arising from their events or their breach of these Terms. PaySeats will indemnify the Organizer for direct damages resulting solely from our gross negligence or willful misconduct, capped at the subscription fees paid by the Organizer in the prior 12 months.

12. Limitation of Liability

Our liability is limited to the fees paid by the Organizer in the prior 12 months, except in cases of gross negligence, willful misconduct, or for liability related to data breaches. This limitation may not apply where prohibited by mandatory consumer protection laws.

13. Modifications

Organizers will be notified of material changes to these Terms at least 30 days in advance and may terminate their account without penalty via the Support Ticket System if they do not agree.

14. Jurisdiction and Dispute Resolution

These Terms shall be governed by the laws of Spain. This does not deprive consumer Organizers of the protection afforded by mandatory provisions of the law of their country of residence. Disputes will first be addressed through mediation. If unresolved, disputes will be settled by binding arbitration, with costs shared equally unless the arbitrator determines otherwise.

All support requests should be directed to our Support Ticket System, which handles global queries asynchronously.

16. Force Majeure

PaySeats is not liable for failures due to causes beyond our reasonable control, including natural disasters, pandemics, government restrictions, or significant third-party service outages.

17. Acceptance of Terms

Purchasing a ticket or registering for the Service constitutes full acceptance of these Terms. The platform logs this acceptance to provide evidence of consent.

18. Accessibility

Accessibility issues are prioritized in our Support Ticket System, and we aim to address them within a reasonable timeframe, typically targeting resolution within 30 days.

19. Service Level Agreement

Our 99% uptime commitment and credit policy are detailed on our support site. Uptime is measured excluding scheduled maintenance, and credits are calculated pro-rata.

20. General Provisions

  • Governing Language: The English version of these Terms shall prevail.
  • Local Compliance: Organizers are responsible for local compliance, including tax obligations. PaySeats will cooperate in good faith to resolve any conflicts between these Terms and mandatory local laws.
